Pre-launch draft. Shelf is in beta and these terms have not yet been reviewed by counsel. The bracketed fields must be completed and the whole document reviewed before Shelf accepts general sign-ups.

The agreement

These Terms of Service are a contract between you and [LEGAL ENTITY NAME] (“Shelf”, “we”, “us”), registered at [REGISTERED ADDRESS]. They govern your use of the Shelf application at app.getshelf.dev, this website, and any related APIs or tools we make available (together, the “Service”).

By creating an account or using the Service you accept these terms. If you do not accept them, do not use the Service. Our Privacy Policy and Cookie Policy form part of this agreement.

We use cookies. One is strictly necessary and keeps you signed in. The rest are used for analytics and marketing, they are optional, and they are not set unless you accept them when asked. Declining leaves the Service fully working. The Cookie Policy sets out each one and how to change your mind.

If you are accepting on behalf of an organisation, you confirm you have authority to bind it, and “you” means that organisation.

Beta status

Shelf is early software, offered on an evaluation basis, and that changes what you should reasonably expect. Features may change or be withdrawn without notice, interfaces may break, data may be lost, and the Service may be unavailable for periods we do not control. Although we design for durability and write your content immutably, you must not rely on Shelf as the only copy of anything you cannot afford to lose.

By using the Service you accept those risks knowingly. To the fullest extent permitted by law, you use it at your own risk and we accept no liability arising from its evaluation status. If that is not an acceptable basis for the work you have in mind, please do not use it.

Your account

  • You must be at least 16 years old, and not barred from receiving the Service under applicable law.
  • An account is identified by an email address. Sign-in uses a one-time code sent to that address, so control of the inbox is control of the account, secure your email accordingly.
  • You are responsible for everything that happens under your account.
  • Tell us promptly at developer@getshelf.dev if you believe your account has been accessed by someone else.
  • One person or organisation per account. Do not share credentials or resell access.

Your content

You own what you put in Shelf. Files, folder structures, labels and everything else you create or upload (“Your Content”) remain yours. We claim no ownership of it, and nothing in these terms transfers any of your intellectual property to us.

You are responsible for Your Content: that you have the right to store it, that it does not infringe anyone else's rights, and that storing it does not break the law where you are. Content produced with the help of an AI agent is Your Content for the purposes of these terms, and your responsibility on the same basis.

You can download any artifact in its original format at any time. When you delete content or your account, we delete it as described in the retention section of the Privacy Policy.

The licence you give us

To run the Service, we need narrow technical permission to handle Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, render and display Your Content solely to provide the Service to you, and to make backup copies for durability.

That licence is limited to operating Shelf on your behalf. It ends when you delete the content or your account. It does not permit us to publish Your Content, share it with third parties for their own purposes, sell it, or use it to train machine-learning models, and we do not.

Acceptable use

Do not use Shelf to:

  • store or distribute material that is illegal where you or we operate, including child sexual abuse material, which we report to the relevant authorities without exception;
  • infringe copyright, trademarks, trade secrets, privacy or any other rights;
  • store or transmit malware, exploit code intended for unauthorised use against others, or credentials obtained without authorisation;
  • harass, threaten, defame, or incite violence against anyone;
  • attempt to breach, probe or circumvent the Service's security or access another user's data;
  • place disproportionate load on the Service, scrape it, or use it as general-purpose bulk file hosting or a content delivery network;
  • resell or white-label the Service without our written agreement;
  • misrepresent your identity or affiliation.

We may set reasonable limits on storage, file size, request rates and account count to keep the Service available for everyone.

Availability and changes

We aim to keep Shelf available and fast, but we offer no service level agreement, no uptime commitment and no guaranteed response time, and the Service is provided on an as-available basis. We may add, change, suspend, limit or discontinue the Service or any part of it at any time, with or without notice, and without liability to you. We may perform maintenance that interrupts access. Where a change materially reduces functionality you depend on, we will give reasonable notice if we are in a position to, but doing so is not a condition of making the change.

We may update these terms. Material changes will be announced by email to account holders or by a prominent notice in the Service before they take effect. Continuing to use Shelf after that means you accept the revised terms; if you do not, you may close your account and export your content first.

Suspension and termination

You can stop using Shelf and delete your account at any time, from within the app.

We may suspend or terminate an account that breaches these terms, that creates legal risk for us or another user, or where we are required to by law. Except where the breach is severe or immediate action is legally required, we will tell you what the problem is and give you a reasonable chance to fix it and to export your content.

If we discontinue the Service entirely, we will give account holders at least [30] days' notice and a means of exporting their content before it is deleted.

Our intellectual property

The Service itself, the software, interface, design, the Shelf name and wordmark, belongs to us and our licensors. These terms give you permission to use the Service, not a licence to our intellectual property. Do not copy the interface, reverse engineer the software beyond what applicable law permits, or use our name or marks in a way that suggests endorsement we have not given.

If you send us feedback or suggestions, we may use them without obligation or compensation. We mention this only so that sending us a good idea never becomes awkward for either of us.

Copyright and abuse

If you believe content stored on Shelf infringes your copyright, send a notice to developer@getshelf.dev including: identification of the work, identification of the material and where it is, your contact details, a statement of good-faith belief that the use is unauthorised, a statement that the notice is accurate and that you are authorised to act, and your signature.

Our designated agent for copyright notices is [DMCA AGENT NAME AND ADDRESS]. We remove infringing material, provide a counter-notice process, and terminate the accounts of repeat infringers.

Other abuse, illegal content, harassment, security misuse, also goes to developer@getshelf.dev.

Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, with all faults and without warranty of any kind. We expressly disclaim all warranties, whether express, implied, statutory or arising from course of dealing or usage of trade, including implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy and non-infringement.

We do not warrant that the Service will be available, uninterrupted, timely, secure or error-free; that defects will be corrected; that it will meet your requirements; that any data will be preserved, accurate or recoverable; or that the Service or any file it serves is free of harmful components. No advice or information you get from us, in writing or otherwise, creates any warranty not expressly stated here.

Your content, and keeping your own copy

Shelf is not a backup service, and you should not treat it as the only copy of anything you cannot afford to lose. You are responsible for maintaining independent copies of Your Content. To the fullest extent permitted by law we accept no liability for loss, deletion, corruption, inaccessibility or unauthorised disclosure of Your Content, however caused, including where it results from our own acts or omissions short of liability we cannot lawfully exclude.

Automated and third-party content

Shelf stores and displays material created by you, by other users who share with you, and by automated tools and AI agents acting on your instructions. We do not author, verify, endorse or check any of it. Output produced by an AI agent may be inaccurate, incomplete, misleading or unsuitable for your purpose, and acting on it is your decision and your risk. We are not liable for any content stored in or retrieved from the Service, or for anything you or anyone else does in reliance on it.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for any loss of profits, revenue, business, anticipated savings, goodwill, reputation, opportunity, data or content, nor for business interruption or the cost of procuring substitute services, arising out of or relating to these terms or the Service, on any theory of liability, whether in contract, tort (including negligence), strict liability or otherwise, even if we have been advised of the possibility of such damages and even if a limited remedy is found to have failed of its essential purpose.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to these terms or the Service, taken together, will not exceed the greater of the total amount you actually paid us for the Service in the twelve months before the event giving rise to the claim, or [USD 100]. Shelf is currently provided free of charge, so in most cases the first of those figures will be zero. This cap is an agreed allocation of risk, it reflects the fact that you are paying nothing, and the Service would not be offered on these terms without it.

Time limit. Any claim arising out of or relating to these terms or the Service must be brought within one year after the claim arose, except where applicable law requires a longer period. Otherwise it is permanently barred.

These limitations apply to the fullest extent permitted by law, and they apply to us, our officers, employees, contractors, agents, suppliers and licensors.

What we do not exclude

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited. That includes death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any other liability whose exclusion the law of your jurisdiction prohibits. If you are a consumer, your statutory rights are unaffected, and nothing here is intended to deprive you of protection that the mandatory law of your country of residence gives you. Some jurisdictions do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so parts of the two sections above may not apply to you; where a limitation is unenforceable, it applies to the maximum extent the law does allow.

Indemnity

You will defend, indemnify and hold harmless Shelf and its officers, employees, contractors and agents from and against any claim, demand, proceeding, loss, liability, damage, fine, penalty, cost or expense, including reasonable legal fees, arising out of or relating to Your Content, your use of the Service, your breach of these terms or of any applicable law, or your infringement of anyone else's rights.

We will notify you promptly of any such claim, and you may control the defence with counsel of your choice, provided you may not settle anything that imposes a non-monetary obligation or an admission of fault on us without our written agreement. We may participate in the defence at our own expense.

Governing law and disputes

These terms are governed by the laws of [JURISDICTION], without regard to its conflict-of-laws rules. The courts of [JURISDICTION] have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of your country of residence, and mandatory consumer protections there continue to apply.

Before filing anything, please email developer@getshelf.dev. Most disputes are a misunderstanding that a short conversation resolves faster than a court will.

General

  • Entire agreement. These terms, the Privacy Policy and the Cookie Policy are the whole agreement between us about the Service.
  • Severability. If a provision is unenforceable, the rest stands and the provision is narrowed to the minimum extent needed.
  • No waiver. Not enforcing something once does not waive it.
  • Assignment. You may not assign these terms without our consent. We may assign them to a successor in a merger or acquisition, on notice to you.
  • Force majeure. Neither party is liable for failure caused by events genuinely beyond its reasonable control.
  • Survival. The content ownership, intellectual property, disclaimer, liability, indemnity and governing law sections survive termination.
  • No third-party beneficiaries. Nobody outside this agreement acquires rights under it.
